1. Agreement and business-only scope
These Terms of Use ("Terms") are a legally binding agreement between Cybrient Technologies SA, a Swiss corporation with its registered office in Geneva, Switzerland ("Cybrient", "we", "us", or "our"), and the company or other legal entity that accepts them ("Customer", "you", or "your") regarding access to and use of BoldWorkspaces.
By clicking an acceptance button, creating or joining a workspace, inviting a user, signing an Order Form, funding an account, or accessing or using BoldWorkspaces, the person acting for Customer confirms that Customer has read, understood, and agrees to these Terms and the BoldWorkspaces Privacy Policy.
BOLDWORKSPACES IS OFFERED ONLY FOR BUSINESS, PROFESSIONAL, AND COMMERCIAL USE. IT IS NOT OFFERED TO CONSUMERS OR FOR PERSONAL, FAMILY, OR HOUSEHOLD USE.
Every user must be at least 18 years old. A person accepting for an organization represents that they have authority to bind it. If Customer does not agree or the accepting person lacks authority, Customer must not use BoldWorkspaces.
CUSTOMER EXPRESSLY ACKNOWLEDGES THAT BOLDWORKSPACES DEPENDS ON BOLDROUTER, THIRD-PARTY MODEL PROVIDERS, AND OTHER THIRD-PARTY SERVICES, THAT THE SERVICE AND MODELS MAY BE UNAVAILABLE WITHOUT NOTICE, AND THAT SECTIONS 6, 17, 18, AND 20 CONTAIN MATERIAL EXCLUSIONS OF AVAILABILITY COMMITMENTS, WARRANTIES, REMEDIES, AND LIABILITY.
2. BoldWorkspaces service overview
BoldWorkspaces is a company workspace environment that enables teams to access and use multiple generative AI models through a unified interface. Features may include private or shared chats, files and content, model selection, administrative controls, per-user or workspace budgets, model permissions, usage reporting, privacy and data-protection settings, invitations, collaboration, and related business controls.
BoldWorkspaces is currently provided through the web and may later be provided through mobile applications, desktop applications, browser extensions, APIs, or other clients. These Terms apply to each client and feature made available by Cybrient unless separate terms are presented.
BoldWorkspaces uses BoldRouter, also operated by Cybrient, as underlying model-routing infrastructure. Requests may be transmitted through BoldRouter to third-party Model Providers. Cybrient may add, remove, change, or discontinue features, Models, clients, or integrations at any time. No service-level commitment applies unless stated in a signed Order Form.
3. Eligibility, authority, and compliance
Customer and each Authorized User must be at least 18, act for a legitimate business, and comply with applicable law. Customer represents that it is validly organized, is not prohibited from receiving the Service, and is not using an alternate identity to evade a suspension.
Customer may not use the Service where it, a beneficial owner, or a user is subject to sanctions or where the Service or selected Model cannot lawfully be supplied. Cybrient may conduct KYB, sanctions, fraud, security, or other compliance checks and may request documents, certifications, or information before or during use.
Customer is responsible for determining whether its use requires employment notices, works-council consultation, privacy impact assessments, consent, professional review, sector-specific controls, records-management measures, or other legal safeguards.
4. Workspace accounts, administrators, and Authorized Users
A BoldWorkspaces environment is controlled by Customer through one or more administrative users ("Admin Users"). Admin Users may invite employees, contractors, advisers, service providers, and other authorized individuals ("Authorized Users"), assign roles, set model permissions and budgets, configure privacy or retention settings, access usage information, manage integrations, and remove users or content.
Customer is responsible for selecting Admin Users, reviewing their permissions, offboarding users, and all actions taken through the workspace. Cybrient may rely on an Admin User's instructions and is not responsible for internal authorization disputes.
Authorized Users must keep credentials confidential and may use the workspace only for Customer's business. Customer is responsible for all use through its accounts and for ensuring that Authorized Users, contractors, and invited members comply with these Terms, Customer policies, Model Terms, and law.
Within a workspace, Admin Users may be able to access, export, retain, delete, restrict, or disclose an Authorized User's conversations, files, Outputs, usage, and account information. Authorized Users should not expect personal privacy from the organization that provides the workspace.
Customer must provide accurate account and billing information, protect passwords and authentication devices, promptly remove unneeded access, and notify Cybrient at [email protected] of suspected compromise.
5. Fees, prepaid Credits, and payment
5.1 Prepaid fees and Credits
Access to BoldWorkspaces, particular Models, or particular features may require prepaid fees or prepaid usage credits ("Credits"). Credits are associated with the relevant Customer account and are consumed at the rates displayed in the Service or agreed in an Order Form. Usage records generated by Cybrient's systems are the basis for calculating consumption, subject to correction of manifest billing errors.
Credits are a contractual right to consume eligible Services. They are not money, a bank deposit, electronic money, a security, a stored-value account, or an investment; they do not earn interest; and they may not be transferred, resold, pledged, exchanged for cash, or used outside the Service unless Cybrient expressly agrees in writing.
5.2 Refunds; Credit expiry
Once purchased, refunds for unused Credits may be requested within twenty-four (24) hours from the time the purchase transaction was processed. For a wire transfer, the purchase is treated as processed when the corresponding Credits are posted to the Customer account. If Cybrient does not receive a refund request within twenty-four (24) hours following the purchase, any unused Credits from that purchase become non-refundable, except to the extent mandatory law requires otherwise.
To request a refund within the eligible period, Customer must use any refund function made available in the Service or contact [email protected] from an authorized account contact and identify the relevant transaction. Only the unused Credit amount is eligible. Credits already consumed, platform or service fees, payment-processing fees, bank charges, intermediary or correspondent bank fees, currency-conversion costs, and other transaction costs are non-refundable. Refunds will be made to the original payment method where reasonably practicable. For wire transfers, Cybrient will not bear or reimburse banking or transfer fees and will refund no more than the net amount actually received by Cybrient, less any non-recoverable charges incurred in making the refund.
Cybrient reserves the right to expire unused Credits three hundred sixty-five (365) days after the relevant purchase was processed. Expired Credits are forfeited without refund, replacement, interest, or other compensation. Account closure, suspension, termination, reduced usage, a change in Customer needs, or a decision not to use a Model does not extend the 365-day period.
5.3 Wire transfers
Cybrient may, at its discretion, accept company wire transfers from approved customers in the SEPA region, the United States, or other approved jurisdictions. A wire transfer is credited only after final, cleared receipt in Cybrient's designated account and only in the net amount actually received by Cybrient.
The Customer bears all originating-bank, receiving-bank, intermediary-bank, correspondent-bank, currency-conversion, and other transfer charges. Cybrient does not insure, reimburse, or assume responsibility for a wire transfer that is delayed, blocked, rejected, misdirected, recalled, reversed, lost, fraudulently initiated, or reduced by fees or exchange-rate movements. The Customer must use the requested payment reference and provide payment evidence or compliance information reasonably requested by Cybrient.
5.4 Card payments and payment processors
Where wire payment is unavailable or not accepted, Cybrient may offer credit-card payment through Stripe or another disclosed payment processor. The processor's terms and privacy notice apply to its processing. The Customer authorizes the processor and Cybrient to charge all amounts approved at checkout or under an Order Form. Cybrient generally does not receive full payment-card numbers.
Chargebacks, payment reversals, or disputed transfers may result in immediate suspension. The Customer remains liable for valid charges, processor fees, collection costs, and reasonable expenses incurred in recovering overdue amounts.
5.5 Currency, taxes, and price changes
Prices may be stated in CHF, EUR, USD, or another displayed currency. The Customer bears all foreign-exchange risk and conversion charges. All displayed or quoted prices exclude VAT and any other applicable taxes, duties, levies, withholding, or governmental charges. The Customer must pay such amounts except taxes based on Cybrient's net income. If withholding is legally required, the Customer must provide evidence and, where legally permissible, increase the payment so that Cybrient receives the amount it would have received without withholding.
Model Provider rates, routing costs, platform fees, minimums, and other charges may change. Cybrient will provide advance notice of material changes where reasonably practicable or legally required. Continued use after the effective date of a price change constitutes acceptance of the changed price.
6. Underlying AI routing, Model Provider terms, and availability
BoldWorkspaces uses BoldRouter to route Inputs to models and related services controlled by third parties (each a "Model Provider" and each model or service a "Model"). The provider's terms, acceptable-use rules, documentation, privacy notice, and data practices are the "Model Terms".
Customer agrees to applicable Model Terms and must ensure that Authorized Users and downstream recipients comply. Customer is solely responsible for selecting permitted Models and determining whether Model Terms allow the intended Inputs, Outputs, users, territories, retention, training, and commercial use.
Model Terms and provider practices can change. Cybrient may add, remove, route around, restrict, or suspend a Model without notice where required by a provider, law, security, availability, or business conditions. Information shown about provider training, logging, retention, region, price, ownership, or availability is based on available information and may be incomplete or outdated.
Some Models are unavailable to certain entities, industries, countries, or use cases. Customer must not circumvent restrictions through VPNs, proxies, false identity, inaccurate location, or other means. Cybrient may require compliance information and may immediately suspend access to a Model on provider request.
BOLDWORKSPACES, BOLDROUTER, AND EACH MODEL ARE PROVIDED STRICTLY ON AN 'AS AVAILABLE' BASIS. CYBRIENT DOES NOT PROMISE OR GUARANTEE THAT THE WEBSITE, ANY CURRENT OR FUTURE WEB, MOBILE, OR DESKTOP CLIENT, ANY WORKSPACE, FEATURE, INTEGRATION, MODEL, MODEL PROVIDER, ROUTE, OR REQUEST WILL BE REACHABLE, AVAILABLE, ACCEPTED, ROUTED, STARTED, COMPLETED, SYNCHRONIZED, STORED, OR RETURNED, OR ANY LEVEL OF UPTIME, LATENCY, THROUGHPUT, CAPACITY, QUALITY, OR CONTINUITY.
A Model, BoldRouter, a hosting or network service, or an integration may be unavailable, overloaded, rate-limited, delayed, degraded, changed, suspended, or withdrawn without notice. Requests or synchronization operations may be refused, moderated, queued, timed out, interrupted, duplicated, partially processed, corrupted, incomplete, or not returned. Workspace controls, notifications, usage records, budgets, and logs may be delayed or temporarily unavailable.
Cybrient may, but is not obligated to, attempt retries, rerouting, fallback, restoration, or workaround measures. No retry, route, fallback, restoration, or workaround is guaranteed to succeed, preserve content or settings, produce an equivalent Output, meet a deadline, or retain the same price, location, training, logging, retention, security, or other characteristics.
NO SERVICE-LEVEL AGREEMENT, AVAILABILITY COMMITMENT, RESTORATION TIME, SERVICE CREDIT, OR OTHER REMEDY APPLIES UNLESS IT IS EXPRESSLY SET OUT IN A SIGNED ORDER FORM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AN OUTAGE, ERROR, DELAY, FAILED OR PARTIAL REQUEST, MODEL OR PROVIDER UNAVAILABILITY, DATA-SYNCHRONIZATION ISSUE, OR WITHDRAWAL OR CHANGE OF A FEATURE, MODEL, ROUTE, CLIENT, OR INTEGRATION DOES NOT ENTITLE CUSTOMER TO A REFUND, CREDIT EXTENSION, SERVICE CREDIT, PRICE REDUCTION, REIMBURSEMENT, DAMAGES, OR OTHER COMPENSATION.
Customer must maintain independent copies and backups of Workspace Content that it cannot afford to lose; test workflows before production use; implement appropriate monitoring, access controls, alternative Models or providers, and business-continuity and disaster-recovery measures; and must not depend on BoldWorkspaces, BoldRouter, or any single Model, provider, integration, or Output where interruption, delay, error, or loss could cause material harm.
7. Workspace Content, ownership, and licenses
Text, chats, prompts, files, images, audio, video, code, instructions, data, and other material submitted, uploaded, stored, or shared through BoldWorkspaces are "Inputs". Material generated or returned by a Model is an "Output". Inputs and Outputs, together with workspace configurations and other content submitted by Customer, are "Workspace Content".
As between Customer and Cybrient, Customer retains its rights in Inputs. Rights in Outputs depend on applicable law and Model Terms. Cybrient does not guarantee ownership, exclusivity, registrability, non-infringement, or fitness of any Output.
Customer grants Cybrient a worldwide, non-exclusive, royalty-free right to host, cache, copy, format, transmit, process, display, and otherwise use Workspace Content only as reasonably necessary to provide, secure, support, bill for, troubleshoot, and improve BoldWorkspaces; follow Customer and Admin User configurations; operate BoldRouter; provide content to Model Providers and subprocessors; prevent abuse; and comply with law.
Customer represents that it has all rights, permissions, lawful bases, notices, and consents required to submit Workspace Content, invite users, monitor workspace usage, permit Admin User access, and enable the processing described in these Terms and the Privacy Policy.
Cybrient does not use Workspace Content to train Cybrient models unless Customer separately and expressly opts in to a clearly identified program. Model Providers may retain or use Inputs and Outputs under their Model Terms. Customer must use model permissions and provider settings appropriate to its data.
Cybrient may use aggregate or de-identified usage, performance, billing, and security statistics that do not reasonably identify Customer or an individual.
8. Administrative controls, sharing, budgets, and privacy settings
Admin Users are responsible for configuring model permissions, per-user and workspace budgets, sharing rights, retention, logging, privacy rules, integrations, and access controls. A control may reduce risk but does not guarantee that a user cannot incur cost, disclose content, select an inappropriate Model, or exceed a budget because of delayed metering, retries, concurrency, provider billing, or system error.
Where sharing features are available, Workspace Content may be shared with other workspace members or through links. Anyone who receives access may view, copy, capture, download, or redistribute content. Revoking a link or account does not retrieve copies already made.
BoldWorkspaces may offer predefined rules that attempt to identify, remove, mask, replace, or transform categories of private or sensitive information before an Input is sent through BoldRouter to a Model Provider.
PRIVACY AND DATA-PROTECTION CONTROLS ARE ASSISTANCE TOOLS. THEY DO NOT GUARANTEE COMPLETE REMOVAL, ANONYMIZATION, COMPLIANCE, CONFIDENTIALITY, OR PREVENTION OF DATA LOSS.
Rules may miss context-dependent information, alter meaning, create false positives, or leave re-identifiable data. Customer must test settings, train users, apply independent security and legal controls, and avoid submitting data that cannot safely or lawfully be processed.
9. AI Outputs and Customer responsibility
Outputs are generated by third-party Models and may be inaccurate, incomplete, outdated, misleading, biased, offensive, unsafe, non-unique, or unlawful. The same or similar Output may be produced for others. Neither Cybrient nor a Model Provider is Customer's professional adviser.
Customer is solely responsible for reviewing and validating Outputs, maintaining human oversight, protecting confidential information, obtaining licenses and approvals, and deciding whether and how to use an Output. Customer must not represent that an Output was verified or endorsed by Cybrient.
Customer must implement appropriate policies for employee and contractor use, including permitted data, approved Models, human review, record retention, attribution, intellectual-property review, and escalation.
BoldWorkspaces is not designed or certified as the sole decision-maker for medical, legal, financial, employment, credit, housing, insurance, education, law-enforcement, migration, safety-critical, or other high-impact uses. Customer bears responsibility for all applicable notices, testing, documentation, qualified review, and meaningful human involvement.
10. Prohibited conduct and acceptable use
Customer must not, and must not allow an Admin User, Authorized User, or other person to:
- use the Service, a Model, an Input, or an Output for illegal, fraudulent, deceptive, abusive, discriminatory, or harmful activity, or in breach of Model Terms;
- submit or distribute content that infringes rights, breaches confidentiality, unlawfully processes personal data, exploits children, promotes terrorism, facilitates serious violence, or is prohibited by law or provider policy;
- impersonate another person, misrepresent affiliation, create a false account, conceal a prohibited location, or use funds derived from unlawful activity;
- phish, scam, harvest credentials, distribute malware, exploit vulnerabilities, or obtain unauthorized access to accounts, data, systems, or devices;
- circumvent permissions, budgets, geographic restrictions, safety rules, authentication, logging, privacy controls, rate limits, payment controls, or other safeguards;
- scrape, crawl, reverse engineer, decompile, attempt to obtain source code or internal prompts, or copy non-public parts of the Service, except to the extent mandatory law permits;
- resell raw access to BoldWorkspaces or build a substantially competing multi-model workspace using the Service without written authorization;
- conduct unauthorized red teaming, prompt injection, jailbreaking, vulnerability scanning, load testing, or adversarial activity;
- use the Service to monitor employees or other individuals unlawfully or make a high-impact decision without required human review and legal safeguards;
- interfere with the Service or another user's use, send unsolicited communications, or impose unreasonable load; or
- attempt, assist, encourage, or permit any of the foregoing.
Cybrient may enforce additional acceptable-use, security, and Model Provider rules. Breach is material and may result in immediate suspension or termination without refund.
11. Security testing and red teaming
Red teaming, prompt injection testing, jailbreaking, vulnerability testing, load testing, and similar activity may affect other customers or violate Model Terms. Such activity requires Cybrient's prior written approval and must remain within the approved accounts, scope, time, traffic, and disclosure requirements.
Approval is discretionary, may be withdrawn, and does not authorize testing of Model Providers or other third parties. Unauthorized testing may be reported to relevant providers or authorities and may result in immediate suspension.
12. Suspension, termination, and workspace data
Customer may stop using the Service or request workspace closure at any time but remains liable for incurred charges. Workspace closure does not create a refund right; any refund request is governed exclusively by Section 5.2. Before closure or expiry of access, Customer should export Workspace Content it wishes to retain using available tools.
Cybrient may limit, suspend, or terminate a user, workspace, feature, integration, or Model immediately for a breach, security or legal risk, sanctions concern, payment dispute, provider request, abusive use, or to protect the Service or others. Cybrient may also discontinue or change the Service for technical or business reasons, with advance notice where reasonably practicable.
SUSPENSION, TERMINATION, FEATURE WITHDRAWAL, OR SERVICE DISCONTINUATION DOES NOT ITSELF CREATE A REFUND RIGHT. ANY REFUND REQUEST IS GOVERNED EXCLUSIVELY BY SECTION 5.2. NO REFUND IS DUE WHERE ACCESS IS SUSPENDED OR TERMINATED FOR BREACH OF THESE TERMS, FRAUD, ABUSE, CHARGEBACK, OR UNLAWFUL ACTIVITY, EXCEPT WHERE MANDATORY LAW REQUIRES OTHERWISE.
Following termination, access may cease immediately. Cybrient may delete Workspace Content and account data according to the Privacy Policy, Customer settings, contractual commitments, legal obligations, and reasonable backup cycles. Cybrient is not responsible for Customer's failure to export content or for deletion performed by an Admin User.
13. Privacy, data processing, and third-party services
The BoldWorkspaces Privacy Policy explains how Cybrient handles personal data. For account, billing, website, security, and service administration, Cybrient generally acts as controller. For Workspace Content processed on Customer instructions, Cybrient generally acts as processor or service provider, subject to the Privacy Policy and any signed DPA.
Customer is the controller or responsible business for personal data it places in the workspace and must provide notices, establish lawful bases, manage data-subject requests, configure retention and access, and obtain employee, contractor, customer, and third-party consents where required.
A Customer that requires a DPA should contact [email protected] before submitting regulated personal data. A signed DPA controls in a conflict concerning Customer Personal Data.
BoldWorkspaces relies on BoldRouter, Model Providers, hosting, security, payment, email, and other third-party services. Customer's use of an integration or Model is also governed by the relevant third party's terms. Cybrient is not responsible for a third party's availability, security, data practices, deletion, modification, or independent use of Workspace Content.
14. Cybrient ownership and Feedback
BoldWorkspaces, BoldRouter, their interfaces, software, documentation, designs, workflows, administrative features, site content, trademarks, and other materials supplied by Cybrient (excluding Workspace Content and third-party Models) are owned by Cybrient or its licensors and protected by intellectual property law.
Subject to these Terms and payment of applicable fees, Cybrient grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the term to use BoldWorkspaces for Customer's internal business activities. No source code, trademark, or other right is granted by implication.
If Customer provides ideas, suggestions, evaluations, error reports, or other feedback, Customer grants Cybrient a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use and exploit it for any purpose without attribution or payment.
15. Confidentiality
Each party may receive non-public business, technical, security, commercial, or product information of the other party that is marked confidential or that a reasonable recipient should understand to be confidential ("Confidential Information"). Customer Content within a private account or workspace is Customer Confidential Information.
The receiving party will use the disclosing party's Confidential Information only to perform or receive the Service, protect it using at least reasonable care, and disclose it only to personnel, contractors, professional advisers, infrastructure providers, and Model Providers that need access and are bound by appropriate confidentiality duties.
Confidential Information does not include information that the receiving party can demonstrate: (a) is or becomes public without breach; (b) was lawfully known without restriction before disclosure; (c) is lawfully received from a third party without a duty of confidentiality; or (d) is independently developed without use of the Confidential Information.
A receiving party may disclose Confidential Information to the extent required by law, court order, or competent authority. Where legally permitted, it will give prompt notice and reasonably cooperate in efforts to limit disclosure. Nothing in this section prevents Cybrient from processing Customer Content as described in these Terms, the Privacy Policy, a DPA, or Customer's configurations.
16. Indemnification
The Customer will defend, indemnify, and hold harmless Cybrient Technologies SA, its affiliates, and their directors, officers, employees, contractors, agents, licensors, infrastructure providers, and Model Providers (collectively, the "Cybrient Parties") from third-party claims, proceedings, losses, damages, liabilities, penalties, fines, judgments, and reasonable legal fees arising from or relating to:
- the Customer's, an Authorized User's, or a downstream customer's access to or use of the Service, Models, Inputs, Outputs, shared content, or integrations;
- Customer Content or an allegation that Customer Content, its collection, or its use infringes rights, breaches confidentiality, or violates data protection or other law;
- a breach of these Terms, an Order Form, Model Terms, documentation, or applicable law by the Customer or any person for whom the Customer is responsible;
- the Customer's products, services, decisions, representations, or actions based on an Output; or
- a dispute between the Customer and an Authorized User, employee, contractor, customer, Model Provider, payment provider, or other third party.
Cybrient may control the defense of an indemnified matter with counsel of its choice. The Customer will cooperate and may not settle a claim in a manner that admits fault by, imposes obligations on, or restricts a Cybrient Party without Cybrient's written consent. The indemnity does not apply to the extent a final judgment determines that the claim was caused by Cybrient's wilful misconduct or gross negligence.
17. Disclaimers and no warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOLDWORKSPACES, BOLDROUTER, THE SITE, CURRENT OR FUTURE WEB, MOBILE, OR DESKTOP CLIENTS, WORKSPACES, MODELS, OUTPUTS, MATERIALS, CREDITS, ROUTES, RETRIES, FALLBACKS, PRIVACY OR SECURITY FEATURES, INTEGRATIONS, AND ALL RELATED SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS, WITHOUT ANY EXPRESS, IMPLIED, STATUTORY, OR OTHER WARRANTY.
The Cybrient Parties disclaim warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, completeness, availability, uptime, latency, throughput, capacity, security, compatibility, synchronization, data integrity, and any warranty arising from course of dealing, usage, or trade practice.
Cybrient does not warrant that the Service, a workspace, client, request, route, retry, fallback, Model, Model Provider, endpoint, integration, or feature will be reachable, available, uninterrupted, timely, successful, synchronized, stored, complete, accurate, secure, free from harmful code, available in a particular country, compatible with a Customer system, or corrected. Model Providers and other third parties may change, restrict, degrade, suspend, or discontinue services, Models, pricing, data practices, APIs, versions, or access without notice to Cybrient or Customer.
Outputs may be inaccurate, incomplete, misleading, offensive, biased, non-unique, outdated, unlawful, unsafe, or unsuitable. Outputs may reproduce or resemble third-party content. Cybrient does not verify Outputs and does not guarantee that Customer may own, register, publish, exploit, or rely on any Output.
Cybrient does not warrant that a budget, role, permission, privacy rule, retention setting, shared-link control, notification, synchronization process, backup, or audit record will prevent every unauthorized action, overage, disclosure, corruption, deletion, data loss, or compliance failure; that an Admin User will use controls correctly; or that a Model Provider or other third party will honor stated data practices, availability targets, or security commitments.
Customer is solely responsible for selecting Models and integrations, reviewing Model Terms and provider data practices, validating Outputs, applying qualified human review, maintaining independent copies and backups, implementing security and resilience controls, training users, and determining whether the Service is appropriate for the Customer's business, legal, privacy, security, regulatory, and professional obligations.
The Service is not designed, certified, or warranted for safety-critical systems or as a substitute for licensed professional judgment. It must not be used as the sole basis for medical, legal, financial, employment, credit, housing, insurance, education, law-enforcement, migration, or other decisions that may materially affect a person without all legally required safeguards, notices, testing, and meaningful human oversight.
No oral or written statement, support response, documentation, status page, historical metric, target, estimate, sample, recommendation, or information creates a warranty, service-level commitment, or remedy unless it is expressly included in a signed Order Form.
18. Limitation of liability
SUBJECT ONLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED, THE CUSTOMER EXPRESSLY AGREES THAT THE CYBRIENT PARTIES HAVE NO LIABILITY OF ANY KIND ARISING OUT OF OR RELATING TO THE SERVICE, THESE TERMS, ANY ORDER FORM, ANY MODEL OR MODEL PROVIDER, ANY INPUT OR OUTPUT, ANY ROUTE, RETRY OR FALLBACK, ANY INTEGRATION OR THIRD-PARTY SERVICE, ANY CREDIT OR PAYMENT, ANY PRIVACY OR SECURITY FEATURE, OR THE CUSTOMER'S ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE ANY OF THEM, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), CULPA IN CONTRAHENDO, STRICT LIABILITY, RESTITUTION, STATUTE, OR OTHERWISE. LIABILITY FOR ANY NEGLIGENCE OTHER THAN GROSS NEGLIGENCE IS EXCLUDED TO THE FULLEST EXTENT PERMITTED BY LAW.
WITHOUT LIMITING THE FOREGOING, CYBRIENT HAS NO LIABILITY FOR BOLDWORKSPACES OR BOLDROUTER, ANY MODEL, OR ANY MODEL PROVIDER BEING UNREACHABLE, UNAVAILABLE, OVERLOADED, RATE-LIMITED, DEGRADED, WITHDRAWN, CHANGED, SUSPENDED, OR TERMINATED; ANY REQUEST BEING REFUSED, MODERATED, DELAYED, TIMED OUT, INTERRUPTED, DUPLICATED, PARTIALLY PROCESSED, CORRUPTED, MISROUTED, INCOMPLETE, OR NOT RETURNED; ANY RETRY, ROUTE, OR FALLBACK FAILING OR SELECTING A DIFFERENT MODEL OR PROVIDER; OR ANY RESULTING INABILITY OF CUSTOMER OR A THIRD PARTY TO OPERATE A PRODUCT, SERVICE, WORKFLOW, OR BUSINESS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO CYBRIENT PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFIT, REVENUE, SAVINGS, BUSINESS OPPORTUNITY, CONTRACTS, GOODWILL, REPUTATION, ANTICIPATED BENEFIT, DATA, CONTENT, USE, PRODUCTIVITY, OR CUSTOMERS, OR FOR DATA OR SYSTEM RESTORATION, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED THAT SUCH LOSS WAS POSSIBLE AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
The exclusions apply to loss arising from or relating to inaccurate, incomplete, unsafe, unlawful, or non-unique Outputs; Customer Content; privacy-filter, permission, budget, logging, retention, or security-control errors; unauthorized access, disclosure, deletion, corruption, or loss of data; Model Provider data practices; integrations or other third-party services; payment-network, banking, wire-transfer, tax, or currency events; account or Model suspension; geolocation or provider-information errors; Customer configuration; or any decision, product, service, representation, or action based on an Output.
TO THE FULLEST EXTENT PERMITTED BY ARTICLE 101 PARAGRAPH 2 OF THE SWISS CODE OF OBLIGATIONS AND OTHER APPLICABLE LAW, THE CUSTOMER AGREES THAT CYBRIENT'S LIABILITY FOR AUXILIARY PERSONS IS EXCLUDED IN FULL. AUXILIARY PERSONS INCLUDE MODEL PROVIDERS, LICENSORS, HOSTING, CLOUD, DATA-CENTRE, CDN, SECURITY, NETWORK, TELECOMMUNICATIONS, IDENTITY, EMAIL, PAYMENT AND BANKING PROVIDERS, SUBCONTRACTORS, CONTRACTORS, AGENTS, AND OTHER THIRD PARTIES USED TO PROVIDE OR SUPPORT THE SERVICE. THIS EXCLUSION APPLIES REGARDLESS OF THE DEGREE OF FAULT OF THE AUXILIARY PERSON, EXCEPT TO THE EXTENT MANDATORY LAW PROHIBITS THE EXCLUSION.
IF, NOTWITHSTANDING THE FOREGOING, A FINAL BINDING DECISION DETERMINES THAT A CYBRIENT PARTY HAS LIABILITY THAT MAY NOT BE FULLY EXCLUDED BUT MAY LAWFULLY BE LIMITED, THE TOTAL AGGREGATE LIABILITY OF ALL CYBRIENT PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, THESE TERMS, OR ANY ORDER FORM WILL NOT EXCEED CHF 100.
The CHF 100 cap is a single cumulative cap for the Customer, its affiliates, Authorized Users, downstream customers, and all other persons claiming through them, across all claims, events, incidents, Models, providers, users, legal theories, and remedies. It is not increased by multiple claims, claimants, events, or affected records. The exclusions and cap are independent, severable risk-allocation provisions and essential elements of the pricing and commercial basis on which the Service is offered.
Nothing in these Terms excludes or limits liability to the extent the exclusion or limitation is prohibited by mandatory law. In particular, these Terms do not purport to exclude or limit liability for Cybrient's own wilful misconduct or gross negligence where Article 100 of the Swiss Code of Obligations or other mandatory law prohibits such exclusion or limitation, liability for death or personal injury to the extent it cannot lawfully be limited, or any other liability that cannot lawfully be excluded. Any invalid exclusion or limitation will be reduced only to the minimum extent required, and all remaining exclusions and limitations will continue in full force.
19. Governing law and dispute resolution
These Terms and all non-contractual obligations arising from or relating to them are governed by the substantive laws of Switzerland, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.
Before filing a claim, a party must send a written notice describing the dispute and requested remedy to the other party. Notices to Cybrient must be sent to [email protected] and to the registered address stated below. The parties will attempt in good faith to resolve the dispute for thirty (30) days after receipt.
SUBJECT TO MANDATORY JURISDICTION RULES, THE COURTS OF THE REPUBLIC AND CANTON OF GENEVA, SWITZERLAND, HAVE EXCLUSIVE JURISDICTION OVER EVERY DISPUTE, ACTION, OR PROCEEDING ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE.
Either party may seek urgent interim or injunctive relief in any competent court to protect Confidential Information, intellectual property, system security, or against unauthorized use, without first completing the informal dispute period.
20. General provisions
Changes
Cybrient may amend these Terms to reflect changes in the Service, Model Provider requirements, law, security, or business practices. Cybrient will give at least thirty (30) days' advance notice of a change that materially reduces Customer rights or materially increases Customer obligations, where reasonably practicable, by email or in-product notice. Other changes take effect when posted. Continued use after the effective date constitutes acceptance; otherwise, Customer must stop using the Service.
Order of precedence; entire agreement
These Terms, the BoldWorkspaces Privacy Policy, any applicable DPA, an Order Form, and policies expressly incorporated by reference form the entire agreement regarding BoldWorkspaces and replace prior discussions on that subject. In a conflict, a signed Order Form controls over these Terms for the specific transaction; a DPA controls for its data-processing subject matter; and applicable Model Terms control the use of the relevant Model. Customer purchase-order terms do not apply unless Cybrient expressly accepts them in writing.
Assignment
The Customer may not assign or transfer the agreement, in whole or part, without Cybrient's prior written consent. Cybrient may assign it to an affiliate or in connection with a merger, reorganization, financing, acquisition, or sale of assets or business. Any prohibited assignment is void.
Force majeure
Cybrient is not liable for any delay, interruption, degraded performance, or failure caused directly or indirectly by an event beyond its reasonable control, including Model Provider unavailability, overload, capacity constraints, rate limits, policy enforcement, API or model changes, Model withdrawal, hosting, cloud, data-centre, CDN or security-provider outages, internet or telecommunications failure, cyberattack, denial of service, malware, utility or power failure, banking or payment-network events, labour dispute, epidemic, natural disaster, government or regulatory action, sanctions, export controls, war, civil disorder, or failure of a third-party supplier. During such an event, affected obligations are suspended, Cybrient may reroute, limit, suspend, or discontinue the affected Service, and no refund, Credit extension, service credit, price reduction, reimbursement, damages, or other compensation is due, except to the extent mandatory law or a signed Order Form expressly requires otherwise.
Severability; waiver
If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. A failure or delay to exercise a right is not a waiver. A waiver must be in writing and applies only to the stated instance.
Relationship; third parties
The parties are independent contractors. These Terms do not create employment, agency, partnership, fiduciary, franchise, or joint-venture duties. Except for Cybrient Parties that are expressly protected by the indemnity, disclaimer, and liability provisions, no third party has a right to enforce these Terms.
Electronic communications and notices
The Customer consents to electronic records, notices, invoices, disclosures, and communications. Cybrient may send notices to the account email, through the Service, or by publication on the Site. The Customer must keep contact details current. Electronic communications satisfy any requirement that a communication be in writing, to the extent permitted by law.
Language and interpretation
The English version controls over any translation, subject to mandatory law. Headings are for convenience. 'Including' means 'including without limitation'. Singular includes plural and vice versa. These Terms will not be interpreted against a party merely because that party drafted them.
Survival
Payment obligations and provisions concerning Model Terms, Customer Content, ownership, confidentiality, indemnity, disclaimers, liability, dispute resolution, and any terms that by their nature should survive will remain effective after termination.
